THE PARTIES AGREE:
1. Definitions
A. In this Agreement:
I. Furniture and Furnishings means the fittings, furniture, furnishings and other items used by the Licensee from time to time in the Room in accordance with the latest inventory signed by the Owner and Licensee. Such inventory will be prepared by the Owner and signed by him and the Licensee at the commencement of the Term and on each/any occasion the Licensee is required to move into another room;
II. Licence means the licence created by and conferred by this Agreement.
III. Licence Fee means the sum of £________ (________) per week.
IV. Term means the period of this Agreement which shall begin on the Commencement date of ________ and continue monthly on a rolling basis from this date.

2. Interpretation
A. In this Agreement unless otherwise specified:
I. the words "include", "includes" and "including" are deemed to be followed by the words "without limitation";
II. the word "liability" includes all costs, loss, damage, expenses and claims incurred or suffered by the relevant party;
III. the word "Utilities" refers to electricity, gas, water, foul water and surface drainage services, heating, ventilation, air conditioning, smoke and fumes related services, signals, electronic communications and all other utilities serving or consumed at the Property;
IV. words introduced by the word "other" do not have restrictive meaning even where preceded by words indicating or referring to a particular class of acts, things or matters; and
V. an obligation not to do something includes an obligation not to cause or allow that thing to be done.
B. In the Agreement unless otherwise specified:
I. a reference to one gender shall include a reference to the other gender;
II. reference to clauses is a reference to a clause under this Agreement; and
III. a reference to particular legislation is a reference to that legislation as amended, consolidated or re-enacted from time to time and all subordinate legislation made under it from time to time, as such is in force at the present time.
3. Nature of the Agreement
A. This Agreement does not confer exclusive possession on the Licensee or create a relationship of landlord and tenant between the Owner and Licensee.
B. The Licensee shall not be entitled to a tenancy or to an assured shorthold or assured tenancy or to any statutory protection under the Housing Act 1988 or to any other statutory security of tenure now or when this Licence ends.
C. The Licence created by this Agreement is personal to the Licensee.
4. Licence to Occupy
A. The Owner permits the Licensee to occupy the Room and to use the Furniture and Furnishings, an inventory of which is attached to this Agreement, for the Term.
B. The Licensee may only share the occupation of the Room with such person or persons as the Owner may approve, such approval having been sought and obtained in advance.
C. The occupation is by the Licensee, and any such persons approved by the Owner, personally.
5. Payment
The Licensee must pay the Licence Fee to the Owner, the first payment to be made in advance of the Commencement Date, and thereafter payment is to be due on the same day of each calendar week as that on which the Commencement Date falls for the duration of this Agreement. For example, if the Agreement commences on a Friday, payment should be made each Friday thereafter.
6. Keys
A. The Owner will provide one set of keys only for the Room and the Property at the Commencement Date.
B. The Owner will issue further sets of keys to any persons approved to share occupation of the Room at their sole discretion.
C. If the Licensee loses a key, the Owner will replace it upon the Licensee paying the reasonable cost of having a replacement cut.
D. The Owner shall retain his own set of keys and he and any persons authorised by him may exercise the right to use these keys and obtain free entry to the Room at any time.
7. Access and use of facilities
The Licensee shall have the right to use any facilities and shared areas at the property, as are agreed with the Owner, in common with the Owner and any other licensees of the Owner.
8. Utilities
The License Fee includes an amount to reflect the cost of Utilities consumed or supplied in the Room during the Licensee's occupation and a proportion of the Utilities consumed or supplied in the shared parts of the Property used by the Licensee. No further sums for the supply of consumption of Utilities shall be payable by the Licensee.
9. Council tax
The Owner shall pay the council tax at the Property.
10. Amicable sharing
The Licensee must use his best endeavours to share use of the Property and the Room (if occupation is shared) amicably and peaceably with the Owner and with such other persons or licensees as the Owner from time to time permits to use the Room and Property and must not interfere with or otherwise obstruct such shared occupation in any way whatsoever.
11. Services and Appliances
A. The Owner may provide services for the Licensee in respect of the Room as agreed from time to time between the parties.
B. The Owner confirms that the electrical appliances and equipment provided by the Owner are safe and will not cause danger and that all electrical appliances and equipment manufactured after 19 January 1997 are marked with the appropriate CE symbol.
C. If there is a gas supply to the Property, the Owner confirms that he has complied with the Gas Safety (Installation and Use) Regulations 1998 and a safety certificate is available for inspection by the Licensee.
D. The Owner confirms that the Property is suitably equipped with smoke alarms (and, where appropriate, with carbon monoxide alarms) that are in proper working order.

14. Furniture and furnishings
A. The Licensee must keep the Furniture and Furnishings in good condition and must not remove any of them from the Room.
B. The Licensee must make good any damage to the Furniture and Furnishings caused by him and in the event that any of the Furniture and Furnishings cannot be repaired to their prior condition, must replace such items with articles of a similar kind and value, as reasonably requested by the Owner.
C. The Owner confirms that the Furniture and Furnishings comply with the Furniture and Furnishings (Fire Safety) Regulations 1988.
15. Pets
The Licensee must not keep any dogs, cats or other pets in the Room at any time during the term of this Agreement.
16. Termination
A. The Licence may be ended:
I. by the Owner without notice if the Licence Fee is not paid on the day when it becomes due or if the Licensee is in material breach of any of the terms of this Agreement;
II. the Property or the Room becoming uninhabitable by reason of fire or some other catastrophic event;
III. if the Licensee becomes bankrupt, has an administration order made in respect of his assets, has a receiver appointed, makes an arrangement for the benefit of his creditors or becomes subject to any procedure for the taking control of his goods by another;
IV. the sale of the Property; and
V. by either party giving to the other not less than the following notice, served at any time:

17. Reallocation of the Room
A. In respect of the occupation of a particular room within the Property, the Owner may give written notice directing the Licensee to use another room in the Property.
B. If such notice is served the Licensee shall have 24 hours to remove his personal effects to the substituted room.
C. If such notice is served the Licensee may, within 24 hours of service of such notice, end the Licence by giving written notice to the Owner.
18. Vacation
Upon determination of the permission granted by this Agreement, the Licensee shall immediately cease to be entitled to use the Room and the Property and must vacate the Room, leaving it clean and tidy, and return the keys to the Owner immediately.
19. Notices
A. Any notice to be served on the Licensee may be served by being left in the Room or in any other part of the Property from where post is usually collected and shall be deemed to have been received upon the expiration of 24 hours after service.
B. Any notice to be served on the Owner may be served by being left in the Room or in any other part of the Property from where post is usually collected and shall be deemed to have been received upon the expiration of 24 hours after service.
20. Severance
If any term of this Agreement is, in whole or in part, held to be unenforceable to any extent under any enactment or rule of law, that term or part shall to that extent be deemed not to form part of this Agreement and the enforceability of the remainder of this Agreement shall not be affected.
21. Jurisdiction
The Owner and the Licensee agree that this Agreement shall be exclusively governed by and interpreted in accordance with the laws of England and Wales and to submit to the exclusive jurisdiction of England and Wales.
22. Contracts (Rights of Third Parties) Act 1999
This Agreement shall not operate to confer any rights on any third party and no person other than the parties to it may enforce any provision of this Agreement by virtue of the Contracts (Rights of Third Parties) Act 1999.
